Final Payment and Amendment is a contract close-out activity in Canadian federal procurement. It joins two actions: the final payment that satisfies the contractor's last invoice and completes the monetary settlement, and a contract amendment, which is an agreed addition, deletion, correction or modification to the contract.

In the responsibility matrix for agreements with the Department of National Defence (DND), the activity is listed as item 5.5.3 under "Close Out Contract" and is assigned to the procurement organization. Public Services and Procurement Canada (PSPC) and DND use it to show who is responsible for bringing a contract to a financial and administrative end. The matrix is published on CanadaBuys.

Where item 5.5.3 sits in the close-out sequence

The DND and PSPC responsibility matrix places Final Payment and Amendment directly after Final Contract Audit, which is item 5.5.2. Both belong to the Close Out Contract stage. The order matters: the audit comes first, and the final payment and any closing amendment follow it.

The phrase is a Canadian federal responsibility label. It is not a standalone NATO terminology entry, although NATO uses a related term, final payment, in its own procurement rules.

How the Supply Manual defines final payment

The CanadaBuys Supply Manual glossary defines final payment as payment made in satisfaction of a final invoice. It adds that final payment completes the monetary settlement in accordance with the conditions of the contract.

Final payment is therefore the point at which the money side of the contract is finished. Once it is made under the contract's conditions, no further payment is owed for the work covered by that contract.

What an amendment does at close-out

The same glossary defines an amendment as an agreed addition, deletion, correction or modification of a contract. The word "agreed" is central: an amendment records a change that both the Crown and the contractor have accepted.

The federal Supply Manual describes close-out activities that include acceptance and final payment, settlement of outstanding payment claims, and issuance of a contract-closing amendment where required. The Supply Manual edition on publications.gc.ca sets this out. The wording "where required" means a closing amendment is issued when the situation calls for one.

The Office of Procurement Ombudsman also treats these steps as part of the post-contractual phase. Its frequently asked questions identify agreement to the contractor's final claim and a final contract amendment among the close-out actions.

How NATO uses the related term final payment

NATO's Procurement Manual states that final payment acknowledges or approves completion of all contract performance. This is a slightly different emphasis from the Canadian glossary. The NATO text ties final payment to acceptance of completed performance, while the CanadaBuys glossary ties it to the final invoice and the monetary settlement. Both treat final payment as the closing payment of the contract.

What it means for a supplier bidding on Canadian public contracts

Suppliers should plan for close-out from the start of a contract. The cited material supports several practical steps:

  • Submit the final invoice or final claim so that final payment can be made.
  • Resolve any outstanding payment claims with the contracting authority.
  • Provide the information needed to support contract completion and close-out.
  • Expect a closing amendment where the contracting authority requires one, and review it before agreeing to it.

Not every contract is shown to need a final amendment. The Supply Manual indicates that a closing amendment is issued if required. Suppliers working with DND should also expect the final contract audit to come before final payment and amendment, since the responsibility matrix lists it first.
